1) Acceptance of Terms

By accessing or using usdbuyselling.com, creating an order, or clicking “I agree”, you accept these Terms and Conditions and our Privacy Policy. If you do not agree, do not use the Services.

2) Eligibility & Territory

• You must be at least 18 years old and legally capable of entering into contracts.

• You may use the Services only where permitted by applicable laws. We may restrict or refuse service based on jurisdiction, sanctions, or risk considerations.

3) Services We Provide

USDBuySelling operates an online platform that facilitates buying, selling, and exchanging supported digital wallet balances (e.g., PayPal, RedotPay, Wise, Skrill, Neteller, Payeer, Payoneer, WebMoney) and supported digital assets (e.g., USDT (TRC20/ERC20), Bitcoin (BTC), Ethereum (ETH), Litecoin (LTC)), with settlement to local payment methods in Bangladesh (e.g., bKash, Nagad, Rocket, DBBL, local bank accounts).

We are not a bank, investment adviser, broker, or custodian. We do not provide investment, tax, or legal advice. We provide best‑effort facilitation and rate quotes according to availability and market/liquidity conditions.

4) KYC/AML, Compliance & Verification

• You agree to complete identity verification (KYC); we may request ID, liveness checks, proof of address, source of funds, wallet ownership proofs, and other documents as needed.

• We implement AML/CFT controls and may screen users/transactions against sanctions and watchlists.

• We may delay, reject, or reverse orders, freeze or terminate access, and/or report to authorities where required by law or compliance policies.

5) Your Responsibilities

You represent and warrant that:

• You are the beneficial owner of the funds/addresses/accounts used.

• You will not use the Services for illegal, high‑risk, or prohibited purposes (including but not limited to fraud, scams, money laundering, terrorist financing, ransomware, illicit marketplaces, child exploitation, intellectual‑property infringement, unlawful gambling, sanctioned entities/activities, or tax evasion).

• You will provide accurate and complete information, keep contact details up to date, and respond promptly to verification or support requests.

• You are solely responsible for backing up any wallet credentials/seed phrases (we will never ask for your seed phrase or password).

6) Creating Orders & Execution Flow

• Quote & Rate: Rates are live and variable until you confirm an order. After confirmation, you must follow the payment/wallet instructions shown.

• Proof‑First: You must provide requested proofs (Order ID, TxID, screenshots, wallet tags/memos) to help us verify and settle correctly.

• Settlement: Payouts are sent to the local payment method you specify (bKash/Nagad/Rocket/DBBL/bank) after confirmations and successful verification.

• Timeframes: Many orders complete within minutes; however, timing may vary due to verification, bank hours, network congestion, liquidity, or compliance checks.

• Ownership & Correctness: Sending to a wrong wallet/address, missing memo/tag, or using a third‑party account may result in loss or delays. We are not responsible for irretrievable transfers.

7) Fees, Spreads & Taxes

• Fees and spreads are shown before you confirm an order. Some networks (e.g., blockchain) require additional fees which may vary.

• You are responsible for all taxes, duties, and reporting resulting from your use of the Services.

8) Limits, Holds & Reviews

We may apply order, daily, or monthly limits, place holds, or perform manual reviews based on risk/compliance. We may request additional documents before releasing funds.

9) Cancellations, Refunds & Reversals

• Before you send funds/proofs, you may cancel an order from your dashboard or by contacting support.

• After funds are sent, cancellation may not be possible. Where feasible, refunds may be issued minus applicable fees (including network/banking/FX costs).

• If a chargeback occurs (e.g., card/wallet reversal), you authorize us to recover amounts owed (including reasonable investigation and processing costs) and to suspend/terminate your access.

10) Pricing, Market Risk & Network Risk (Crypto)

• Prices can change rapidly; you accept the risk of market volatility and slippage.

• Blockchain networks may be congested or experience delays, reorganizations, or outages; confirmations are not under our control.

• Irreversibility: Many crypto transfers are irreversible; once broadcast/confirmed, we generally cannot retrieve funds.

11) Service Availability & Maintenance

We strive to keep the Services available 24/7, but uptime is not guaranteed. We may suspend services for maintenance, security, compliance, liquidity, or other operational reasons.

12) Third‑Party Services & Integrations

We rely on payment partners, wallet providers, exchanges, banks, and other third parties. We do not control and are not responsible for third‑party systems, fees, schedules, outages, or terms. Your use of any third‑party service is governed by that third party’s terms and policies.

13) Intellectual Property

All content and materials on the Website (logos, text, graphics, UI, software) are owned by or licensed to USDBuySelling and are protected by applicable intellectual‑property laws. You may not copy, modify, distribute, or create derivative works except as permitted in writing.

14) Privacy & Data

Our collection and use of personal data are described in our Privacy Policy. By using the Services, you consent to such processing, including KYC/AML screening and retention of records as required by law.

15) Communications & E‑Sign Consent

You consent to receive electronic communications (email, in‑app, SMS/WhatsApp) about your orders and our Services. You agree that electronic signatures and records have the same force as written ones to the extent permitted by law.

16) Prohibited Activities (Examples)

Using the Services for, or in connection with, any of the following is strictly prohibited:

• Illegal goods/services, scams, pyramid schemes, or high‑risk investment solicitations.

• Mixing or obfuscating funds for illicit purposes; chain‑hopping to evade detection.

• Sanctions violations, terrorist financing, human trafficking, ransomware, or dark‑web marketplaces.

• Infringement of intellectual property or privacy rights.

• Using stolen/unauthorized accounts, chargeback fraud, or identity theft.

17) Suspension & Termination

We may suspend or terminate your access at any time for suspected violations, legal/institutional requests, risk concerns, or inactivity. You remain liable for any obligations incurred before termination.

18) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, TIMELY, OR ERROR‑FREE SERVICE.

19) Limitation of Liability

To the maximum extent permitted by law, USDBuySelling and its officers, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits/revenue/data, arising from or related to the Services, even if advised of the possibility. Our total liability in any 12‑month period shall not exceed the total fees you paid to us for the order(s) giving rise to the claim.

20) Indemnification

You agree to indemnify and hold harmless USDBuySelling from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms or applicable law; (c) your violation of third‑party rights; or (d) any fraud, negligence, or misconduct by you.

21) Governing Law & Dispute Resolution

• These Terms are governed by the laws of Bangladesh.

• Good‑Faith Resolution: Contact support first with your Order ID and details; we will attempt to resolve promptly.

• Arbitration: If unresolved within 30 days, disputes shall be finally settled by arbitration in Dhaka under the Arbitration Act, 2001 (Bangladesh) by a sole arbitrator. Proceedings may be conducted in Bangla or English. Judgment on the award may be entered in any court of competent jurisdiction.

• Nothing prevents either party from seeking injunctive relief or pursuing claims in a court with jurisdiction where arbitration is not permitted by law.

22) Force Majeure

We are not liable for any delay or failure caused by events beyond our reasonable control, including acts of God, labor disputes, power or internet failures, cyberattacks, regulatory actions, market disruptions, or failures of third‑party services.

23) Changes to These Terms

We may modify these Terms at any time. The “Effective date” above will reflect the latest revision. Material changes may be notified via banner, email, or in‑app notice. Continued use after changes constitutes acceptance of the updated Terms.

24) Miscellaneous

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Services.

• Severability: If any provision is held invalid, the remaining provisions remain enforceable.

• No Waiver: Failure to enforce any provision is not a waiver of that provision.

• Assignment: You may not assign your rights or obligations without our prior written consent; we may assign as part of a merger, acquisition, or asset sale.

• Headings: Headings are for convenience and do not affect interpretation.
